Terms of Service

These Terms of Service govern your use of our website and our clinical access and care coordination services. Please read them carefully before engaging us — they explain what we provide, what you agree to, and how our relationship works.

CliniVoyage Limited (“CliniVoyage”, “we”, “us”) is a company incorporated in Hong Kong, with its registered office at Suite 1704, 17th Floor, The L Plaza, 367-375 Queen's Road Central, Central, Hong Kong. These Terms of Service govern your use of our website and our clinical access and care coordination services.

1. Acceptance of Terms

Please read these Terms of Service carefully before using our website or engaging our services. By accessing or using our website, by submitting an enquiry, or by executing an engagement with us, you agree to be bound by these Terms of Service, together with our Privacy Policy and Disclaimer, and you agree that you are responsible for compliance with all applicable laws and regulations. If you do not agree to these Terms of Service, you must not use our website or services.

2. The Services

CliniVoyage provides clinical access and care coordination services to international patients and overseas Chinese, including: arranging consultations and admissions at hospitals in the People's Republic of China; identifying and matching clients to appropriate medical teams; arranging certified medical translation and interpretation; preparing and verifying documentation (including medical records, visa-related materials and insurance paperwork); and coordinating appointments, investigations and follow-up care. We do not provide medical diagnosis, treatment or advice. All clinical services are delivered by licensed hospitals and physicians within the People's Republic of China, who are solely responsible for all clinical decisions and care. Our services do not include the provision of insurance, legal, immigration or visa advice, and nothing in these Terms constitutes such advice.

3. User Obligations

You agree that, in using our website and services, you will: (a) provide accurate, complete and current information about yourself, your medical condition and your requirements, and promptly update us if any information changes; (b) provide all necessary consents and authorisations, including authorisation for us to receive, use and disclose your medical records and personal data as described in our Privacy Policy, and consent for the cross-border transfer of your personal data where applicable; (c) not disrupt or interfere with our website, servers or any software, hardware or equipment connected to or via our website; (d) not violate any applicable law relating to your use of our website or services, including laws relating to privacy and data protection; (e) not collect or store personal data about other users of our website; and (f) not use our website or services for any unlawful, fraudulent or harmful purpose.

4. Use of the Website and Intellectual Property

The website and all content on it, including text, graphics, images, logos, software and data (the "Materials"), are the property of CliniVoyage or its licensors and are protected by copyright and other intellectual property laws, including the Copyright Ordinance (Cap. 528 of the Laws of Hong Kong). Unless expressly authorised by law or with our prior written consent, you must not: (a) sell, reproduce, distribute, modify, display, publicly perform, prepare derivative works from, repost or otherwise use any of the Materials for any public or commercial purpose; (b) use any of the Materials on any other website, server or web page; (c) otherwise infringe our intellectual property rights; or (d) insert a hyperlink to our website, or mirror or frame any part of our website.

5. Booking, Coordination and Fees

Where we provide coordination services, the scope of services, fees and payment terms will be set out in a written engagement letter or invoice provided to you. Our fees are separate from, and do not include, any fees charged by hospitals, physicians or other third-party providers. You are responsible for all fees and charges payable to us and to third-party providers in connection with your engagement. Any booking or coordination arrangement made through us is subject to the availability and confirmation of the relevant hospital or physician, and we do not guarantee that any appointment, admission or treatment will be available, confirmed or successful. Where applicable, we publish our fees transparently; however, final fees may vary depending on the complexity of the engagement and third-party charges.

6. Third-Party Links

Our website may contain links to third-party websites, services or advertisers that are not maintained or controlled by us. We are not responsible for the availability, content, accuracy or completeness of such external resources, and we are not responsible for any losses or damages incurred as a result of your use of any linked website. The presence of any link does not constitute an endorsement or verification of the linked website or its content by us.

7. Personal Data

By using our website or services, you acknowledge that you may provide us with personal data (as defined in the Personal Data (Privacy) Ordinance (Cap. 486 of the Laws of Hong Kong) (the "PDPO")), and you consent to our use of your personal data in accordance with our Privacy Policy and the PDPO. You further acknowledge that your personal data may be transferred outside Hong Kong for the purposes described in our Privacy Policy, and you consent to such transfer where consent is required.

8. Disclaimer of Warranties

Our website and services are provided "as is" and "as available", and, to the fullest extent permitted by law, we disclaim all warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement. We do not warrant that our website or the server that operates it will be uninterrupted, secure, timely or free from errors or harmful components. We make no representation or warranty regarding the availability, suitability or outcome of any hospital, physician, procedure or treatment coordinated through us.

9. Limitation of Liability

To the fullest extent permitted by law, we, our officers, directors, employees, agents and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, punitive or exemplary damages, or any loss of profits, goodwill, data, opportunity or anticipated savings, arising out of or in connection with your access to, use of, reliance on, or inability to use, our website or services, whether based on warranty, contract, tort (including negligence), strict liability or any other legal theory, and whether or not we knew of the possibility of such damage. If a jurisdiction does not permit the exclusion or limitation of liability but allows a limitation to a certain maximum extent, our liability shall be limited to that extent. Nothing in these Terms limits or excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.

10. Indemnity

You agree to defend, indemnify and hold us, our officers, directors, employees, agents and affiliates harmless against all damages, losses, expenses and costs (including legal costs) suffered or incurred by us in connection with or arising from: (a) your access to our website and/or use of our services; (b) any other party's access to our website and/or use of our services using your credentials; (c) your breach of these Terms of Service; or (d) your violation of any applicable law or the rights of any third party.

11. Suspension and Termination

We may, in our sole discretion and without liability, suspend or terminate your access to our website or services, in whole or in part, at any time and for any reason, including without limitation if we reasonably believe that you have breached these Terms of Service or that your continued use may expose us, our clients or third parties to risk. We may also suspend or terminate any engagement in accordance with the terms of the applicable engagement letter. On termination, the provisions of these Terms of Service which by their nature are intended to survive termination (including clauses 4, 8, 9, 10, 13, 14 and 15) shall continue in full force and effect.

12. Amendments to these Terms

We may amend these Terms of Service from time to time. Any changes will be posted on our website, and your continued use of our website or services after such changes are posted shall be deemed to indicate your agreement to the amended Terms. Changes will not affect any engagement entered into before the date of such changes unless expressly stated otherwise.

13. Severability, Waiver and Entire Agreement

If any provision of these Terms of Service is held to be invalid, illegal or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. No failure or delay by us in exercising any right or remedy shall operate as a waiver of such right or remedy. These Terms of Service, together with our Privacy Policy, Disclaimer and any applicable engagement letter, constitute the entire agreement between you and us regarding your use of our website and services, and supersede all prior agreements, understandings and representations.

14. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China. You irrevocably agree that the courts of the Hong Kong Special Administrative Region shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms of Service, including any question regarding their existence, validity or termination.

15. Language

These Terms of Service are written in English and may be translated into other languages as the occasion arises. A Chinese version of these Terms of Service is available on our website. In case of any discrepancy between the English and translated versions, the English version shall prevail.
